1. Parties and acceptance
These Terms and Conditions ("Terms") govern your access to and
use of the websites meshwg.com and
vpn.meshwg.com and any related services
(collectively, the "Service") operated by

[Proprietorship / Partnership / Limited Liability Partnership / Private Limited Company]
having its registered office at
[REGISTERED BUSINESS ADDRESS, CITY, STATE, PIN],
India (hereinafter "we", "us", "our", or "MeshWG").
By accessing the Service, creating an account, or otherwise
using any feature of the Service, you ("you", "your", "User",
"Customer") confirm that you have read, understood, and agreed
to be bound by these Terms, our Privacy Policy, and our
Cancellation and Refund Policy. If you do not agree, you must not use the Service.
2. Eligibility
To use the Service you must:
- Be 18 years of age or older and competent to contract under the Indian Contract Act, 1872.
- Provide accurate, current, and complete information during account creation.
- Be authorised to act on behalf of any organisation whose name you supply during signup.
3. Description of Service
MeshWG is a hosted WireGuard mesh VPN and zero-trust network
access service. Subject to these Terms and your
subscription plan, we grant you a limited, non-exclusive,
non-transferable, revocable right to use the Service for your
internal business or personal networking purposes.
4. Account, credentials, and security
You are responsible for maintaining the confidentiality of your
account credentials and for all activity that occurs under your
account. You must notify us immediately of any unauthorised use
at security@meshwg.com.
We are not liable for any loss or damage arising from your
failure to safeguard your credentials.
5. Acceptable use
You agree not to use the Service to:
- Violate any applicable law of India or any other jurisdiction where you operate, including the Information Technology Act, 2000.
- Transmit any content that is unlawful, defamatory, obscene, harmful to minors, or otherwise prohibited under Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
- Send unsolicited bulk email (spam), conduct phishing, distribute malware, or perform denial-of-service attacks.
- Scan, probe, or attempt to test the vulnerability of third-party systems without their express authorisation.
- Circumvent the rate limits, machine quotas, or other technical controls in the Service.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service. MeshWG is closed-source proprietary software.
- Use the Service to host or distribute content infringing the intellectual property rights of any third party.
We reserve the right to suspend or terminate accounts engaged
in any prohibited activity, and to cooperate with law enforcement
authorities in accordance with applicable law.
6. Ownership and intellectual property
You retain all rights to your data, configurations, and content
stored or transmitted through the Service. The Service itself
— including the hosted software, dashboard UI, documentation,
and the "MeshWG" name and marks — is and remains the sole
property of [YOUR LEGAL ENTITY NAME] and is protected under the
Copyright Act, 1957 and the Trade Marks Act, 1999. Nothing in
these Terms transfers ownership of any intellectual property to you.
7. Pricing, payment, and taxes
All prices on the Service are quoted in Indian Rupees (INR) and
are inclusive of applicable Goods and Services Tax (GST) unless
stated otherwise. A GST-compliant tax invoice is issued for every
paid transaction.
Free tier: The first 2 (two) machines in any
account are free of charge, indefinitely. No payment instrument
is required.
Cloud tier: ₹349 per machine per month when
billed annually, or ₹499 per machine per month when billed
monthly. The first 2 machines remain free in any paid account;
only the third and subsequent machines are billed.
Pro tier: Custom pricing for dedicated
infrastructure, custom domains, or contractual service levels.

Payments are processed by Razorpay Software Private Limited
("Razorpay"). Your use of Razorpay is subject to Razorpay's own
terms; we are not responsible for any payment-gateway error,
delay, or charge imposed by your bank or card issuer.
8. Cancellation and refund
You may cancel any paid subscription at any time, from the
/billing page within your dashboard. Refunds, if
any, are governed by our
Cancellation and Refund Policy,
which is incorporated into these Terms by reference.
9. Service availability and modifications
The Service is provided on an "as is" and "as available" basis.
We do not guarantee uninterrupted or error-free operation on the
Free or Cloud tier. Pro contracts may include a separately
negotiated service-level agreement.
A key architectural property: when the MeshWG control plane is
temporarily unavailable, the WireGuard tunnels already
established between your peers continue to operate — because
WireGuard runs on your own devices, not on our servers. You may
be temporarily unable to add new peers or change access policies
during an outage, but existing connectivity is not affected.
We may modify, suspend, or discontinue any aspect of the Service
at any time, in our reasonable discretion, with prior notice
where reasonably possible.
10. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided
without warranties of any kind, whether express, implied,
statutory, or otherwise — including warranties of merchantability,
fitness for a particular purpose, non-infringement, and accuracy.
We do not warrant that the Service will be uninterrupted, secure,
or free of errors.
11. Limitation of liability
To the fullest extent permitted by applicable law (including the
Consumer Protection Act, 2019, the Indian Contract Act, 1872,
and the Sale of Goods Act, 1930, where applicable), in no event
shall [YOUR LEGAL ENTITY NAME], its directors, employees, agents,
or service providers be liable for any indirect, incidental,
special, consequential, exemplary, or punitive damages
whatsoever, including loss of profits, loss of business, loss of
data, or loss of goodwill, even if advised of the possibility of
such damages.
Our total aggregate liability arising out of or relating to
these Terms or the Service shall not exceed the amount actually
paid by you to us in the twelve (12) months immediately preceding
the event giving rise to the claim, or ₹5,000 (Indian Rupees Five
Thousand only), whichever is greater.
12. Indemnification
You agree to defend, indemnify, and hold harmless
[YOUR LEGAL ENTITY NAME] and its officers, directors, employees,
and agents from and against any and all claims, damages,
obligations, losses, liabilities, costs, and expenses (including
reasonable attorney's fees) arising from: (a) your use of and
access to the Service; (b) your violation of any term of these
Terms; (c) your violation of any third-party right, including
any intellectual property, privacy, or contract right; or
(d) any content posted or transmitted by you.
13. Termination
We may suspend or terminate your access to the Service, in
whole or in part, with or without notice, in the event of (i) a
material breach of these Terms by you; (ii) any unlawful activity
conducted through your account; (iii) non-payment of fees due;
or (iv) any other reason permitted by law.
Upon termination, your right to use the Service ceases
immediately. Sections that by their nature should survive
termination (including ownership, disclaimers, limitations of
liability, indemnification, and governing law) shall survive.
14. Force majeure
We shall not be liable for any failure or delay in performance
caused by circumstances beyond our reasonable control, including
acts of God, war, terrorism, riots, embargoes, civil or military
authority, fire, flood, earthquake, accidents, network failure,
strikes, lockouts, telecommunications failures, or government
orders.
15. Changes to these Terms
We may update these Terms from time to time. Material changes
will be communicated to the email address associated with your
account with at least 30 days' notice before they take effect.
Continued use of the Service after the effective date constitutes
acceptance of the revised Terms.
16. Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with
the laws of India, without regard to its conflict-of-law principles.
Any dispute, controversy, or claim arising out of or relating to
these Terms, or the breach, termination, or validity thereof,
shall be subject to the exclusive jurisdiction of the competent

Before initiating any litigation, the parties shall attempt to
resolve the dispute in good faith by mutual discussion within
30 (thirty) days.
17. Severability and entire agreement
If any provision of these Terms is found to be unenforceable or

minimum extent necessary so that these Terms shall otherwise
remain in full force and effect. These Terms, together with the
Privacy Policy and Cancellation and Refund Policy, constitute
the entire agreement between you and us with respect to the
Service and supersede all prior agreements and understandings.
